CONFIDENTIALITY AGREEMENT
This Agreement is made and entered into as of [Date] by and between [Party A], a company incorporated under the laws of [Country], with its registered office at [Address] ("Disclosing Party"), and [Party B], a company incorporated under the laws of [Country], with its registered office at [Address] ("Receiving Party").
1. Definition of Confidential Information. For purposes of this Agreement, "Confidential Information" shall mean any data or information that is proprietary to the Disclosing Party and not generally known to the public.
2. Obligations of Receiving Party. The Receiving Party agrees to maintain the Confidential Information in strict confidence and not to disclose such information to any third party without the prior written consent of the Disclosing Party.
